1. The Purchaser shall use the said Parcel for office /business purposes only of the type as may be approved by the Vendor or the management corporation and shall not permit or suffer anyone to use the same of any portion thereof for any other purposes.
2. Unless otherwise permitted by the Vendor, the Purchaser shall not use or cause or permit to be used the said Parcel or any portions thereof for the carrying on of any of the following businesses or trades:-
3. Purchaser shall not use the said Parcel or carry on business in the said parcel in such manner as may hinder and /or prejudice and/ or affect the image of the said Centre as a whole or the management and supervision of the services to be provided by the Vendor.
4. Nothing herein contained in this Agreement shall be construed as implying that the Purchaser shall have a monopoly in his class or business or any restriction in the number of persons firms or companies carrying on the same class of business in the said Centre.
5. Nothing herein contained in this Agreement shall be construed as implying that it is obligatory that the vendor shall apply for relevant approval from the Appropriate Authority for the carrying on of the business of the purchaser in the said parcel.
6 The Purchaser shall not affix paint or otherwise exhibit on the exterior of the said Parcel or the windowsthereof including the external walls of the said Centre any nameplate signboard, notices, banners, lights or advertisement save and except a signboard to indicate the business or name of the Purchaser in such form character dimensions and in such position to be first approved by the Vendor.
7. The Purchaser shall not without the prior written consent of the Vendor install any telephone, air-conditioner and other appliances.

The Purchaser shall into cause any accumulation of dirt, rubbish or debris in or outside the said Parcel and shall not display or store any goods or vehicles in any part of the Common Property so as to cause obstruction and shall maintain the general condition and appearance of the said Parcel particularly as regard the shop front in a presentable condition.
9. The Purchaser shall not carry out or caused to be carried out any renovation to the said parcel unless prior written consent has been obtained from the Vendor with regard to the nature, extent and design of the proposed renovation.
10. The Purchaser shall not affix any grilles or place any kind of obstruction to the lifts, stairways and common passages of the said Centre and any other part of the common area/property. The Vendor shall have the right to remove at the Purchaser's expense any such obstruction in the interest of the occupants of the said Centre.
11. The Purchaser shall make good to the satisfaction of the Vendor all damages to the common property caused by the Purchaser, his , licencees, visitors, guests, tenants, servants or agents. If the Purchaser shall fail to do so, the Vendor may (without being under any obligation to do so ) at the cost and expense of the Purchaser make good such damage and the Purchaser shall pay to the Vendor on demand the cost and expense of all repairs to make good all such damage.
12. The Purchaser shall not do or omit or permit to be done any act or thing which may render void or voidable the insurance on the said Parcel or whereby the premium of any such insurance may be liable to be increased and shall make good all damages suffered by the Vendor or the management corporation and shall on demand pay to the Vendor or the management corporation in about the renewal of such policy or policies rendered necessary by a breach or non-observance of this covenant without prejudice to the other rights of the Vendor or the management corporation.
13. No machinery or furniture shall be moved into or out of the said Parcel unless prior notice is given to the Vendo, and the moving of the same shall only be done at a time to be approved by the Vendor or the management corporation.

15. Except with the prior written consent of the Vendor, the Purchaser shall not erect or place upon within or without the said parcel any radio or television aerial or antenna or any loudspeakers, screens or similar devices or equipments.
16. The Purchaser shall not permit trade vehicles while being used for delivery and pick up of merchandise to or from the said Parcel to be driven, parked or stopped at any place or time within the said Centre except within the loading dock of the said Centre and except at such other place or places and at such time or times as the Vendor may specifically allow and the Purchaser shall prohibit it employees service suppliers and others over whom it may have control from parking delivery vehicles during loading or unloading in any place other than the said loading dock or such other places which the Vendor may from time to time allot for such purposes and from obstructing in any manner howsoever the entrances exits and driveways in and to the parking areas and also the pedestrian footways.
17. The Purchaser shall not use or permit to be used the said loading dock for the storage of goods or for any other purpose other than for the prompt loading and unloading of goods.
18. The Vendor shall be entitled to close the said Centre or any part thereof and to prevent and prohibit any person from entering or remaining thereon between the hours midnight and 6.00 a.m.
19. The Purchaser shall pay the service charge, common fund, insurance premium, promotion fee and such other outgoings in respect of the said parcel within the time period stipulated by the Vendor.
20. The Purchaser shall permit the Vendor and its agents with or without workmen and other persons at all reasonable times to enter the said Parcel for purposes of inspecting and carrying out works necessary to repair and maintain the service duct servicing the said Parcel or other Parcels situated above, below or adjacent to the said Parcel.
21. The Purchaser shall observe and comply with any conditions and covenants binding upon the said Centre or otherwise howsoever in respect of the said Centre and shall not do or omit or suffer to be done or omitted any act matter or thing in or effecting the said parcel which shall contravene any provisions of any Act, Ordinance, Enactment or hereafter indemnify and keep indemnified the Vendor against all actions, proceedings,costs,expenses, claims and demands in respect of such act matter or thing done or omitted to be in contravention of any of the said provisions.
22. In the event the Purchaser commits any breach of the covenants herein, the Vendor shall serve on the Purchaser requiring the Purchaser to remedy the breach with fourteen (14) days from date of the said notice. In the event of continuing breaches of whatever nature by the Purchaser and after having served six (6) such notices, the Purchaser shall be deemed to have given an option to the Vendor for the sale of the said Parcel at the prevailing market price to be determined by a private valuer. The Vendor shall resell the said Parcel by way of tender to the public.
23. Without prejudice to Clause 22 herein, the breach by the Purchaser of any of the covenants herein shall give the Vendor or the management corporation the right to :-
